Subscription and Service Terms

1. Parties and acceptance

These terms are between Datova Technology (Pty) Ltd (registration registration number), registered physical address, Namibia ("Datova") and the organisation that subscribes to Digital Office ("the Customer"). They are accepted by a person authorised to act for the Customer and are recorded with the version and date. A signed order, quotation or agreement for the Customer's subscription forms part of these terms.

2. The subscription

Datova provides the Digital Office modules listed in the Customer's subscription, for the number of users and the period agreed. The Customer's administrators decide who has access and what each person can do.

3. Fees, billing and renewal

Fees, billing frequency (monthly or annual) and payment terms are as agreed in the Customer's subscription. The subscription renews for the same period unless either party gives notice of TO CONFIRM: notice period before the renewal date. Datova shows the renewal date in the service and reminds administrators beforehand.

TO CONFIRM: currency, VAT treatment, late-payment interest and price changes.

4. Suspension for non-payment

If payment for a renewal is not confirmed by the due date, Datova may suspend access. While suspended, the Customer's information is kept and nobody can use it; access is restored when payment is confirmed. Datova will warn administrators before suspending.

5. Customer responsibilities

The Customer is responsible for its users and their compliance with the Terms of Service, for the information it puts into the service and for having a lawful basis to process personal information about its employees, clients and others, including telling them how it is used.

6. Support and support access

Support requests are made in the service or by email to support@datovatechnology.com. Datova can only see the Customer's business information if the Customer grants support access — read-only or troubleshooting, limited to chosen areas and to at most seven days, revocable at any time and recorded.

7. Availability, maintenance and backups

Datova uses reasonable efforts to keep the service available and will try to schedule planned maintenance outside business hours with notice. TO CONFIRM: any service-level commitment. Backups: TO CONFIRM: frequency, retention and restore commitments — automated daily backups are not yet enabled.

8. Ending the subscription and the Customer's data

Either party may end the subscription as set out in Section 3, or immediately for a serious breach not fixed within TO CONFIRM: days of notice. On request made within TO CONFIRM: days after the end, Datova will provide an export of the Customer's information; afterwards Datova deletes it from the service, except audit records and information the law requires it to keep. TO CONFIRM: export format and deletion timescale, including backups.

9. Confidentiality and intellectual property

Each party keeps the other's confidential information confidential. The Customer owns its information; Datova owns the service and its software.

10. Warranties and liability

TO CONFIRM with counsel: warranties, exclusions, the cap on each party's liability (for example the fees paid in the previous 12 months), and indemnities.

11. General

TO CONFIRM with counsel: governing law (Republic of Namibia), dispute resolution, notices, assignment and entire-agreement clauses.
